Extraordinary announcement of the Management Board of Genesis Energy Investment Plc.
The Management Board of Genesis Energy Plc. hereby informs the shareholders that the Management Board of the Company has passed a resolution (number 6/2010 (VI.28.)) about the increase of capital of its wholly owned subsidiary, Genesis Solar España S.L. (GSE). The value of the capital increase is EUR 9,000,000 and it is executed by way of providing in kind contribution to GSE.
The in kind contribution provided by the Company is the 100% ownership of Lawrence Tres S.L., a company registered in Spain and acquired by Genesis Energy Plc. from Vital Source S.A. in course of the private capital increase decided by the annual general meeting of the Company on 19th April 2010. The value of the in kind contribution has been defined on the basis of the auditor’s valuation provided in the just closed capital increase in Genesis Energy Plc.
With the now decided capital increase the registered capital of Genesis Solar España S.L. will be EUR 16,247,766.
The Management Board instructed and authorized Mr. Peter Jacobs and Mr. Damian Greco, the managing directors of Genesis Solar España S.L. to perform all actions in order to complete the acquisition in line with all applicable Spanish legal requirements.
The accomplishment of this capital increase transaction is an indispensable milestone of the closing process of the agreements concluded by and between the Genesis Energy Plc., Genesis Solar Corporation (GSC) and Vital Source S.A. as a result of which the whole solar related business of Genesis Energy Plc. will be acquired by GSC in exchange for GSC shares as disclosed earlier.
